Constitution 

1. Name

 

The name of the Charity is “Be Kind, Give Time”.

 

2. Purposes

 

The Charity’s purposes are to:

 

  • Advance education and professional development through mentoring and coaching.

  • Promote mental health and well-being by providing access to professional advice and support services.

  • Relieve those in need by reason of youth, age, ill-health, disability, financial hardship, or other disadvantages by offering guidance and support.

 

The Charity operates to benefit the public without distinction of sex, sexual orientation, race, or of political, religious, or other opinions.

 

3. Powers

 

To further its purposes, the Charity may:

 

  • Raise funds and invite and receive contributions.

  • Purchase, lease, and operate facilities and equipment.

  • Organise events, workshops, and training sessions.

  • Cooperate with other charities, voluntary bodies, and statutory authorities operating in furtherance of the Purposes or similar charitable purposes.

  • Do anything lawful and necessary to achieve the Purposes.

 

4. Membership

 

  • Membership is open to anyone who supports the Charity’s Purposes.

  • The trustees may only refuse an application for membership if acting reasonably and in the best interest of the Charity.

  • Membership is not transferable.

 

5. Trustees

 

  • The Charity shall be managed by a board of trustees who are appointed in accordance with the constitution.

  • The number of trustees shall be no less than three and no more than twelve.

  • The trustees are responsible for making decisions, managing the Charity’s affairs, and acting in the Charity’s best interests.

 

6. Meetings and Proceedings of Trustees

  • The trustees must hold at least two ordinary meetings each year.

  • A quorum is half of the number of trustees.

  • Decisions are made by a majority of votes.

 

7. Financial Management

 

  • All funds must be used to further the Purposes.

  • The trustees must keep accounting records and prepare annual statements of account for the Charity.

 

8. Amendments

 

  • The constitution can only be amended at an AGM or EGM called in accordance with the constitution.

  • Any changes must further the Purposes and not lead to the distribution of assets for non-charitable purposes.

 

9. Dissolution

 

If the trustees decide it’s necessary to dissolve the Charity, any assets remaining after debts must be given to another charity with similar purposes.

 

10. Adoption of the Constitution

 

This constitution was adopted by the trustees on 5th March 2024 at Zoom Meeting Online.
